1. Agreement to Terms

By applying for, accessing, or utilizing the services provided by Kiyaa Digital Media (“Kiyaa”, “Company”), including linking a YouTube channel to our Content Management System (CMS) or distributing audio recordings to digital service providers (DSPs), you (“Partner”, “Creator”, or “Label”) agree to be legally bound by these Terms and Conditions.

copyright 2. Preservation of Intellectual Property Ownership

You retain 100% exclusive copyright ownership in your original audio recordings, visual assets, compositions, and brand marks. Partnering with Kiyaa does NOT transfer master or publishing rights to Kiyaa Digital Media. You grant Kiyaa a non-exclusive, worldwide license solely for the purposes of distributing, fingerprinting, monetizing, and protecting your designated content.

3. YouTube CMS Multi-Channel Network Services

When your YouTube channel is linked under our enterprise CMS network:

  • Kiyaa administers ad-inventory sales optimization, higher tier RPM configurations, and enterprise support routing.
  • Kiyaa acts as a mediator with Google/YouTube policy teams in case of strikes, false-positive claims, or compromised accounts.
  • Channel owners agree to adhere strictly to the YouTube Community Guidelines and Copyright policies.

4. Revenue Share, Accounting & Royalty Payouts

Revenue earned from YouTube CMS ad inventory and DSP music streams is collected and disbursed on a strict monthly cycle:

  • Revenue Split: The exact agreed revenue split (e.g. 85/15, 90/10, or custom label tier) is specified upon partner onboarding.
  • Reporting: Detailed CSV/PDF statements showing gross revenue, territory breakdowns, platform sources, and net payable amounts are made available monthly.
  • Payment Methods: Settlements are processed automatically via Direct Bank Wire, NEFT/RTGS, UPI, or PayPal within 30 to 45 days following the end of each accounting month.

6. Term, Unlinking & Termination

Either party may terminate the partnership agreement with 30 days written notice. Upon termination, Kiyaa will initiate the CMS channel release in Google CMS and take down or transfer distributed music catalogs according to the partner’s instruction without penalty.

7. Dispute Resolution & Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any unresolved dispute arising out of this agreement shall be submitted to binding arbitration in New Delhi / Gurugram in accordance with the Arbitration and Conciliation Act.
